Pre-Sale and Pre-Acquisition Planning and Change

Timberline Business Advisors provides pre-investment bank support to small businesses that are considering a sale or an acquisition within the next 2-3 years. We identify ways to optimize cash flow and boost enterprise value, and then we work side-by-side with the client to implement the necessary changes. Timberline begins by comparing the business’ liquidity, debt coverage, leverage, and operating ratios to those of similar size industry competitors to highlight strengths and detect weaknesses that need improvement. Timberline also conducts an in-depth review of all financial information and operations of the client to discover opportunistic actions that can be taken to boost revenues, increase profit margins, reduce expenses, and improve process and systems efficiency.

These actions are taken by Timberline (prior to the client’s formal engagement of an investment bank) to increase the business’ market price, bolster the business’ acquisition readiness, and better position the client for a smooth and successful M&A transaction. Once the client hires an investment bank, Timberline can remain a valuable resource by leveraging its deep M&A experience to provide strategic guidance to the client throughout the transaction process.

Full-Service Loan Procurement

There are numerous bank and non-bank financing sources available to small businesses today. Timberline understands the importance of finding the right lender and obtaining competitively structured loans for working capital, invoice financing, equipment purchases, real estate, and acquisitions. We navigate the maze of loan options for our clients and provide comprehensive loan procurement services from beginning to end. Timberline will draft a detailed loan request for proposal (“RFP”) describing our client’s financial position, loan need, repayment capacity, available collateral, desired loan terms, and requested loan closing date. We will distribute the RFP to our network of preferred lenders, review all RFP responses, discuss the RFPs with our client, and make a lender recommendation. Timberline will also manage all lender information requests, answer all underwriting questions, negotiate loan documents, and manage the loan closing process – up to and including the disbursement of loan funds. Timberline is much more than just a loan broker. We are an outsourced credit advocate and financing partner working to match your business’ financing need with the right lender at the most competitive terms possible.

Banking Relationship Management

Banks come in all shapes and sizes. Not only do they offer varying degrees of customer service, they provide a wide array of product and service capabilities. Small businesses that are dissatisfied with their bank, or require services that their existing bank doesn’t provide, can rely on Timberline to find the right bank for their business. We can also help a business’ existing bank relationship become more profitable and efficient.

With our extensive expertise in commercial banking, Timberline can help a business stay on top of its bank loan requirements (financial reporting, covenants, continuing reps and warranties, etc.) and its deposit accounts. Further, Timberline has the knowledge and experience necessary for small businesses to outsource the management of its entire banking relationship so that owners and company leaders can focus on value-creating activities and strategic planning.

Financial Benchmarking

Timberline has proprietary access to a database containing financial statements submitted by nearly 270,000 small businesses across more than 700 industries. For clients seeking comparative financial information on similar size companies in their industry, or on targeted acquisitions, Timberline can provide competitive financial intelligence on balance sheet percentages, profit and expense margins, and key ratios that measure liquidity, debt coverage, balance sheet and cash flow leverage, and operating efficiency. Financial benchmarking is a powerful resource management tool that can identify areas where a small business is performing well, and it can detect areas where financial improvements need to be made. This service is also useful in evaluating a potential acquiree’s financial strengths and weaknesses, which helps determine an acquisition price, a post-closing implementation plan, and a go-forward assimilation strategy.
